These Terms of Service ("Terms") govern your use of the Meridian Legal Tech software-as-a-service platform ("Meridian", "the Service"). By creating an account or using the Service you agree to these Terms.
1. Who can use Meridian
Meridian is a B2B platform sold to Canadian immigration consulting practices, law firms operating in immigration, and immigration-adjacent service providers. Subscribers must be authorized to operate in their jurisdiction. End clients of those firms interact with Meridian only through magic-link portals controlled by their firm and do not need their own subscription.
2. Subscription and billing
- Plans and pricing are listed at meridianlegal.ca/#pricing
- Billing is monthly via credit card processed by Stripe
- A 14-day free trial is offered on every paid plan; no credit card is charged until the trial ends
- You may cancel at any time; access continues to the end of the current billing period
- Refunds are issued at our discretion, typically within the first 30 days for documented platform failures
3. Your responsibilities
As a subscribing firm, you are responsible for:
- Keeping authentication credentials secure and not sharing logins between staff
- Configuring access controls (RBAC roles) appropriate for each staff member
- Operating in compliance with the College of Immigration and Citizenship Consultants (CICC) code of conduct or applicable bar association rules
- Obtaining valid consent from your end clients before uploading their information into the platform
- Maintaining accurate trust account records and performing required monthly reconciliations
4. Acceptable use
You may not use Meridian to:
- Process information you are not legally authorized to process
- Send unsolicited email (the platform's mass-email feature is for existing client communication only)
- Reverse-engineer, scrape, or attempt to compromise the platform's security
- Resell access to third parties without an explicit reseller agreement
5. Service availability
Meridian targets 99.9% monthly uptime, measured per quarter. Planned maintenance windows will be announced at least 7 days in advance via the firm administrator's email. We do not guarantee availability and are not liable for losses arising from downtime, but we will work in good faith to restore service promptly.
6. Data ownership and portability
You retain full ownership of all data your firm enters into Meridian, including end-client records. You may export your tenant's complete data at any time from Settings → Disaster Recovery (full SQL dump + R2 file inventory). On cancellation, your data is retained for 90 days during which you can re-subscribe and resume access; after 90 days it is permanently deleted.
7. AI features
Meridian uses Anthropic's Claude API for the Auto-Context AI Writer and inline rewrite features. When you click "Draft email", the case context (client name, case state, document state, etc.) is sent to Anthropic for inference. Anthropic's commercial terms prohibit retention of this data for model training. You are responsible for reviewing AI-generated content before sending it to clients or filing with IRCC — Meridian does not warrant the legal accuracy of AI output.
8. Indemnification
You agree to indemnify Meridian against claims arising from (a) your use of the Service in breach of these Terms, (b) information you upload that infringes third-party rights, or (c) advice you give to end clients that results in adverse immigration outcomes.
9. Limitation of liability
Meridian's total liability arising from the Service is limited to the fees you paid in the twelve months preceding the claim. We are not liable for indirect, consequential, or punitive damages. This limit does not apply to gross negligence or willful misconduct.
10. Termination
Either party may terminate the agreement at any time. We may suspend or terminate accounts that breach these Terms, fail to pay, or are used in a manner that creates legal or reputational risk. On termination by us for non-payment, the 90-day data retention window still applies.
11. Changes to these Terms
We may update these Terms occasionally. Material changes will be communicated to firm administrators by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Disputes will be resolved by the courts of Ontario, with exclusive jurisdiction in Toronto.
